Company/Share Acquisition and Sales

We regularly act for both buyers and sellers of companies/businesses whose values range from anywhere between £15,000 to £20 million. Our team can provide advice not only to ensure you are fully protected in relation to the share/asset transfer but on ancillary matters such as company law, employment and property advice.

Company Advice

The Companies Act 2006 is the largest piece of legislation ever enacted in England and Wales. We are able to provide up-to-date advice to companies including changing their articles of association, re-organising share capital, share option schemes, directors duties, company secretarial filing obligations, drafting resolutions and notices for meetings (also attending such meeting if required) and all other matters that may concern your company.

We have particular expertise in advising companies set up to administer leasehold property. A company limited by shares is the usual way that lessees will own a freehold acquired under the 1993 Act. Whilst we advise in this area (see freehold acquisition) we can also assist you after the transaction has been completed to ensure that the property is correctly administered within the realm of company law (which in our experience is often is not the case).

We also act for a variety of other clients in providing company advice who are within a broad range of sectors such as stock broking, media and car franchises.

Intellectual Property

We regularly advise clients in relation to intellectual property including copyright issues and trade marks. We can provide advice in the context of, for example, a digital media company wanting to ensure that their sketches do not breach the copyright of another party, protecting the rights of a script writer whose property is being abused, assigning intellectual property rights in software to a holding company to protect the creators and registering trademarks used by business wishing to create an all important brand for their product or services.

Formation of Companies, Partnerships and Limited Liability Partnerships

If you are considering starting up a business we can advise you on which type of medium is best for your needs and set it up for you. We have experience in setting up:

  • companies limited by shares;
  • companies limited by guarantee;
  • partnerships; and
  • the relatively new medium of a limited liability partnership.

Shareholders Agreements

A shareholders agreement is a fundamental document which should be entered into between shareholders not only when setting up a new company but also in relation to shareholders in existing companies who may not have entered into such an agreement. The agreement is private (as opposed to the Articles of Association of a company which can be publicly inspected at Companies House) so can include clauses which shareholders may not want third parties to be aware of. The agreements can also contain important clauses that are usually absent from a company’s Articles such as restrictive covenants which can prevent shareholders (who may not also be directors) from competing with the interests of the company.

Consultancy/Agency/Distribution Agreements

We act for a broad range of clients in drafting and negotiating commercial agreements for a variety of purposes. We have access to large databases of precedents and can tailor such agreements to the specific needs and requirements of our clients.
